Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer") and FurnViz, based in Giza, Egypt ("FurnViz"). By accessing, registering for, or using the FurnViz platform and related services (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

2. Definitions

"Account" means a unique account registered by the Customer to access the Service. "Content" means any data, files, floor plans, images, product catalogs, text, or other materials uploaded or submitted to the Service by the Customer. "Order Form" means a written or electronic document executed by both parties specifying the subscription plan, fees, and commercial terms. "Subscription" means the right to access and use the Service for the duration and scope set forth in the applicable plan or Order Form. "Users" means the Customer's employees, contractors, or agents authorized by the Customer to access the Service.

3. Eligibility

The Service is intended exclusively for business customers (B2B). By registering, you represent and warrant that: (a) you are a legal entity or individual acting in a professional or commercial capacity; (b) you are at least 18 years of age; (c) you have the legal authority to enter into binding contracts in your jurisdiction; and (d) your use of the Service does not violate any applicable law or regulation.

4. Description of Service

FurnViz provides a cloud-based SaaS platform designed for furniture retailers, interior designers, and related businesses. Core functionality includes: uploading and processing 2D architectural floor plans; generating photorealistic 3D interior visualizations; managing digital product catalogs and furniture libraries; sharing interactive visualization links with end-clients; and collaboration tools for design teams. Features vary by subscription tier. FurnViz reserves the right to modify, update, or discontinue features with reasonable advance notice.

5. Account Registration and Security

You must create an Account by providing accurate, current, and complete registration information. You are solely responsible for: (a) maintaining the confidentiality of your Account credentials; (b) all activities that occur under your Account; and (c) ensuring all Users comply with these Terms. You must immediately notify FurnViz at [email protected] upon becoming aware of any unauthorized use of your Account.

6. Subscription Plans, Billing, and Payment

The Service is offered under three tiers: Pilot — for individual designers or small studios; Team — for growing design teams; Network — for large retailers or multi-location businesses, with custom limits, SSO, dedicated account management, and bespoke SLA terms. Fees are quoted in USD or EGP as specified in your Order Form or checkout. Subscription fees are charged in advance on monthly or annual billing cycles. All amounts are exclusive of applicable taxes. Price changes will be communicated by email at least 30 days before taking effect.

7. Intellectual Property

FurnViz Platform: The Service — including its software, algorithms, source code, UI design, documentation, and trademarks — is the exclusive property of FurnViz and its licensors. You are granted only a limited, non-exclusive, non-transferable right to access and use the Service during the Subscription term for your internal business purposes. Customer Content: You retain all ownership rights in your Content. By uploading Content, you grant FurnViz a limited, non-exclusive, royalty-free license to access, store, process, and display your Content solely to provide the Service to you. This license terminates upon termination of your Subscription.

8. Prohibited Uses

You may not: (a) reverse-engineer, decompile, or attempt to derive source code from the Service; (b) create derivative works based on the Service; (c) resell, sublicense, or commercially exploit the Service for third parties without written consent; (d) use the Service to build a competing product; (e) remove proprietary notices from the Service; (f) use automated bots or scrapers to extract data without prior written authorization; or (g) use the Service in any manner that violates applicable law or these Terms.

9. Service Availability

FurnViz will use commercially reasonable efforts to maintain the availability of the Service 24/7. However, FurnViz does not guarantee uninterrupted or error-free access. Planned maintenance will be communicated in advance. Network customers benefit from specific uptime commitments in their Order Form. Where FurnViz fails to meet SLA commitments, your sole remedy shall be service credits as described in the Refund & Cancellation Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FURNVIZ EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FURNVIZ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA. IN ALL CASES, FURNVIZ'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO FURNVIZ IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless FurnViz and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of: (a) your or your Users' use of the Service; (b) your violation of these Terms; (c) your Content, including any allegation that it infringes third-party intellectual property rights; or (d) your violation of any applicable law.

13. Term and Termination

These Terms continue for the duration of your Subscription and renew automatically unless cancelled. FurnViz may suspend or terminate your access immediately if: (a) you breach these Terms or our Acceptable Use Policy; (b) you fail to pay amounts due within the 7-day grace period; (c) you become insolvent or subject to bankruptcy. Upon termination, FurnViz retains your Content for 90 days during which you may export it, after which it is securely deleted.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. The parties agree to attempt to resolve any dispute through good faith negotiation for 30 days following written notice. If unresolved, the parties submit to the exclusive jurisdiction of the competent courts of Cairo, Egypt.

15. Changes to These Terms

FurnViz may update these Terms at any time. Material changes will be communicated by email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, Acceptable Use Policy, Cookie Policy, Data Processing Addendum, and any applicable Order Form, constitute the entire agreement between you and FurnViz. Severability: If any provision is found unenforceable, the remaining provisions continue in full effect. Waiver: Failure to enforce any right is not a waiver of that right. Assignment: You may not assign these Terms without FurnViz's prior written consent.
